About the Contracts Specialist role:

The Contracts Specialist role will be responsible for reviewing, drafting, and negotiating commercial sales terms and conditions, agreements, distribution agreements, non-disclosure agreements, and material transfer agreements in close coordination with the business unit leaders and other share services partners.

  • Identify omissions or deviations from Trojan Technologies Standard Terms and Conditions; Foresee potential contractual pitfalls ahead of time and lead the avoidance or resolution, compose a listing of exceptions and clarifications; Identify approvals needed to accept deviations; Suggest use of alternate language where appropriate and work with the legal team for approval

  • Compose contract revisions utilizing alternate language to achieve compliance with guidelines

  • Manage contract hierarchy; Review new orders to establish document hierarchy and identify commercial deviations from those proposed

  • Provide interpretation of contract language to enable accurate assessment of technical obligations by project teams

  • Provide contractual professional guidance to team members to ensure the project is executed according to contract requirements

  • Ensure new order acceptance criteria has been satisfied, obtain approvals from Finance, Legal, Sales, Operations, and others as necessary, ensure alignment and communicate project execution goals and plans

  • Prepare the new Contract Summary to document precedence, commercial obligations, deviations from standard residual commercial risks, and notifications required during project execution

  • Prepare commercial documents for Contract Handoff to project execution teams; Provide contractual guidance during project kickoff meetings

  • Act as customer liaison for communication with customers and interact with assigned project team personnel accordingly

  • Prepare and ensure legal agreements are executed and maintained for each project, as required. Navigate and pull together resources to ensure contract requirements are followed and executed.

  • Embrace and utilize a culture with regular kaizen activities leveraging daily management and continuous process improvement to achieve sustainable competitive advantage.

Are you qualified?

  • Bachelor's degree in Business Administration or related field with two years related experience

  • Prior experience in contract management, negotiation, terms, and conditions

  • Experience in Capital Equipment Contracts a plus

  • SAP experience for orders (SD) preferred

  • Previously worked as or with Project Manager and/or project team to deliver projects on-time, within budget, and to the contract documents

  • Ability to multi-task and manage time wisely; Strong organizational skills

  • Well-versed in Microsoft Office

  • Ability to manage multiple stakeholder expectations

  • Interpersonal and professional communication and; Ability to work cross-functionally within an organization
