Job Details
The Corporate Counsel serves as an integral member of the executive team, providing legal support and guidance to CARFAX Canada. Reporting to the President, this position plays a key role in drafting and negotiating contracts, managing legal risks, and ensuring compliance with applicable laws and regulations.

Position Responsibilities

  • Draft, review, and negotiate a variety of contracts and legal documents, including vendor agreements, customer contracts, confidentiality agreements, and employment agreements
  • Collaborate with internal stakeholders to ensure that contracts accurately reflect company interests and comply with legal requirements.
  • Provide timely and practical legal advice to departments on a wide range of legal issues such as corporate governance, commercial transactions, intellectual property, employment law, and regulatory compliance.
  • Oversee governance framework, including a new AI governance framework.
  • Analyze complex legal issues, risks and potential risks to recommend appropriate courses of action.
  • Assist in developing and implementing compliance programs and initiatives to ensure adherence to both existing and emerging applicable laws, regulations, and company policies.
  • Collaborate with internal stakeholders to assess and manage risks associated with business activities, transactions, and strategic initiatives.
  • Maintain accurate and organized legal files and documentation.
  • Assist in the development and maintenance of standardized legal templates, forms, and policies to streamline legal processes.
  • Manage legal disputes and litigation matters, including conducting legal research, preparing legal documents, and collaborating with external counsel as needed.
  • Act as key contributor to industry stakeholder affairs and government relations matters, with particular emphasis on regulatory practices and processes.

Education and Experience Required:

  • A Juris Doctor or equivalent legal degree from an accredited law school and admission to a Canadian bar or equivalent (in good standing) to practice law in Canada.
  • Minimum 10+ years of post-call commercial law experience in a national or leading regional law firm or in-house. In-house experience should demonstrate history of progressive levels of responsibility.
  • Solid understanding of enterprise risk management, ethics, contract law, corporate governance principles, and regulatory compliance requirements relevant to data and technology industries.
  • Supplementary business training such as B.Comm, MBA or equivalent considered an asset.
  • Experience with enterprise risk management, ethics, compliance, and regulatory processes relevant to data and technology industries.
  • Strong analytical, problem-solving, and decision-making skills, with the ability to effectively prioritize and manage multiple tasks and deadlines.
  • Excellent communication and interpersonal skills, with the ability to collaborate effectively with cross-functional teams and communicate legal concepts to non-legal stakeholders.
  • Detail-oriented and organized, with the ability to work well both independently as well as collaboratively within a team environment.
  • Demonstrated ability to establish trust, communicate effectively, collaborate across an organization, and prioritize the highest value organizational initiatives.
